Terms of service

Last updated Fri 9 Oct 2026

These terms are the agreement between your organisation and us when you use NetworkingBadger. They are written to be read, so please do.

NetworkingBadger is a brand of CleverOwl Solutions Ltd, registered in England and Wales, company no. 16973711. VAT no. GB519492465. Registered office: 82a James Carter Road, Mildenhall, Bury St Edmunds, IP28 7DE.

1. Who we are

NetworkingBadger is a brand of CleverOwl Solutions Ltd, a company registered in England and Wales under company number 16973711, with its registered office at 82a James Carter Road, Mildenhall, Bury St Edmunds, IP28 7DE. Our VAT number is GB519492465. In these terms, “we”, “us” and “our” mean CleverOwl Solutions Ltd.

2. Who these terms are for

NetworkingBadger is sold to organisations that run business networking groups, for business use. “You” means the organisation that creates an account. The person who creates it confirms they are authorised to accept these terms on the organisation’s behalf.

Your members and your guests use the member app and the guest pages as part of your organisation. Their relationship is with you, not with us, and our data processing terms set out how we look after their information for you.

3. What the service is

NetworkingBadger gives your organisation an organiser dashboard, a member app in your own name and colours, guest invitations and follow up, meetings and bookings, referrals and one to ones, membership tracking, and reporting. You can run as many groups as you like. Every feature is included in the licence.

4. Starting your licence

When you create your organisation you start your licence by giving your card details, and you can then invite your members and publish meetings. Your first 30 days are free: we take no payment until the free month ends, and we email you 3 days before, telling you the amount and the date. If you cancel during the free month you pay nothing. The free month applies once to each organisation, to monthly and annual licences alike; a licence restarted after cancelling is paid from the start. There is no setup fee. Until your licence is started you can set things up, but not invite anyone or publish meetings. Organisations that began a free trial before the licence was introduced keep that trial on the terms it started with.

5. The licence, setting up and VAT

The licence is priced on your active members: £1.50 per active member a month, for at least 50 members, so never less than £75 a month, and £1.25 for each active member beyond 1,000. An annual licence costs twelve months of the monthly price. For more than 2,000 active members the price is by arrangement.

Active membersMonthlyAnnual
Up to 50£75£900
100£150£1,800
250£375£4,500
1,000£1,500£18,000
2,000£2,750£33,000

Your licence follows your membership. We count your active members every hour, and when the number changes your licence changes with it: Stripe works out the difference for the rest of the month or year, and adds it to, or takes it off, your next invoice.

Setting up costs nothing when you set your own organisation up, which is how a single network normally starts. If you would rather we did it, for several groups or a large network, that work is quoted before any of it starts and invoiced separately from the licence.

Refunds

Because the first month is free, there is nothing to refund if you cancel in it. After that we do not refund part of a month or year: your licence runs to the end of the period you have paid for. Setup work we have done for you and invoiced is not refundable once it is done. This does not affect your legal rights. The white label add-on has its own 7 day window, because it can be added long after you start (see our cancellation and refunds page).

Prices are in pounds sterling and do not include VAT, which we add at the standard UK rate, currently 20%. Every invoice is a VAT invoice. You pay in advance, by card, through our payment provider Stripe. Your licence renews automatically at the end of each month or year until you cancel. We email you before every renewal: 60, 30, 14, 7 and 1 days before an annual renewal, and 7 and 1 days before a monthly one, telling you the amount, the date and your current member count.

If we change our prices we will tell you at least 30 days before, and the new price applies from your next renewal after that. You can cancel before it does.

White label

White label is an optional add-on to the licence: your emails come from your own domain once you have added the records we give you, the assistant in your member app can go by a name you choose, and our name is kept out of your members’ way except where the law needs us to be identified, such as in privacy information. It costs £150 a month, or £1,800 a year with an annual licence, plus a one off £250 to set up, all plus VAT. It is billed with your licence, and adding it charges the setup fee and the rest of the current period straight away.

You can remove white label at any time from the Billing page, and the unused part of the period is credited to your next invoice. If you remove it within 7 days of adding it, we refund the setup fee in full. Emails keep coming from our address, under your name, until your domain is proven, and whenever white label is off. We stay your data processor whatever your members see, so your own privacy notice must still name us as one.

6. Organisations on an earlier plan

These plans closed to new organisations on 17 September 2026 and cannot be bought. New organisations take the licence in section 5. This section applies only to organisations that were already on one of these plans, who stay on them, at their price, on the terms below, for as long as they keep them.

PlanMembersMonthlyAnnual
SettUp to 75£29£290
ClanUp to 250£69£690
NetworkUp to 750£149£1,490
FranchiseMore than 750By arrangement

An annual earlier plan costs ten months of the monthly price. Each earlier plan’s limit counts the people who hold an active membership, once each, however many of your groups they belong to; guests and lapsed members do not count. If you reach it you cannot add new members until you move to a bigger plan or a place becomes free. We never remove or hide anybody because you have reached it. The free trials of the earlier plans are no longer offered. Where an organisation began one before the licence was introduced, a trial that ended without a plan being chosen leaves its dashboard read only for publishing meetings and sending invitations, while it can still sign in, see and export everything; its members’ app keeps working for a further 14 days, then becomes read only too. Choosing a plan restores everything straight away.

7. If a payment fails

We tell you the same day and give you 14 days to sort it out, during which everything keeps working. After that your dashboard becomes read only, though you can still export everything and update your card. Your members’ app keeps working for a further 14 days before it becomes read only. We never tell your members about your billing. Paying restores everything immediately.

8. Your members’ fees

NetworkingBadger never collects, holds or processes the fees your members pay you. You collect them however you already do, and you can record them in NetworkingBadger to keep track. Your arrangements with your members, including what they pay and when, are between you and them.

9. Your data

Everything your organisation puts into NetworkingBadger, including your members’ and guests’ details, belongs to you. You are the controller of that personal data and we process it on your behalf, as set out in our data processing terms, which form part of these terms. You can export your data at any time, in every state your subscription can be in. Our privacy policy explains the information we hold about you and your organisers for ourselves. When your subscription ends we keep your data for 90 days, then delete it permanently, as section 12 explains.

10. Using NetworkingBadger properly

You agree, and you will make sure your organisers agree, not to:

If you seriously or repeatedly break these rules we may suspend your account after telling you why, or at once if we must to protect other customers or comply with the law.

11. Keeping the service running

We work hard to keep NetworkingBadger available and secure, but we cannot promise it will never be interrupted. We will try to carry out planned maintenance at quiet times and give notice where we can. Support is by email to hello@networkingbadger.com.

12. Cancelling

You can cancel at any time from the Billing page. Your plan keeps working to the end of the month or year you have paid for, and we do not charge you again.

If you cancel within 7 days of your first annual payment, we refund it in full. Otherwise we do not refund part months or part years, except for outages and billing mistakes, as our cancellation and refunds policy sets out.

When your plan ends we keep your data for 90 days, so you can come back and carry on where you left off. After 90 days we delete it permanently, and it cannot be recovered. We email you 60 days and 14 days before that happens, and you can export your data until then. Our cancellation and refunds policy has the details.

13. Our responsibility to you

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else the law does not allow us to limit.

Otherwise, we are not liable for loss of profits, revenue, business, goodwill or data, or for any indirect or consequential loss. Our total liability to you in any year is limited to the amount you paid us for NetworkingBadger in the 12 months before the event giving rise to the claim.

14. Changes to these terms

We may update these terms. If a change matters, we will tell you by email and in your dashboard at least 30 days before it takes effect. If you do not agree, you can cancel before then.

15. The law that applies

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute about them.
